1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Awrosoft ("Company," "we," "us," or "our"), concerning your access to and use of the Hevra ERP software and services.

You agree that by accessing the application, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE APPLICATION AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Intellectual Property Rights

Unless otherwise indicated, the application is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the application (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

The Content and the Marks are provided on the application "AS IS" for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the application and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Representations

By using the application, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete
• You will maintain the accuracy of such information and promptly update such registration information as necessary
• You have the legal capacity and you agree to comply with these Terms of Service
• You are not a minor in the jurisdiction in which you reside
• You will not access the application through automated or non-human means
• You will not use the application for any illegal or unauthorized purpose
• Your use of the application will not violate any applicable law or regulation

4. User Registration

You may be required to register with the application. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Prohibited Activities

You may not access or use the application for any purpose other than that for which we make the application available. The application may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the application, you agree not to:

• Systematically retrieve data or other content from the application to create or compile a collection, compilation, database, or directory
• Make any unauthorized use of the application, including collecting usernames and/or email addresses of users by electronic or other means
• Circumvent, disable, or otherwise interfere with security-related features of the application
• Engage in unauthorized framing of or linking to the application
• Trick, defraud, or mislead us and other users
• Make improper use of our support services or submit false reports of abuse or misconduct
• Engage in any automated use of the system
• Interfere with, disrupt, or create an undue burden on the application or the networks or services connected to the application
• Attempt to impersonate another user or person or use the username of another user
• Sell or otherwise transfer your profile
• Use any information obtained from the application in order to harass, abuse, or harm another person
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the application
• Attempt to bypass any measures of the application designed to prevent or restrict access to the application
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the application to you
• Delete the copyright or other proprietary rights notice from any Content
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the application

6. Subscription and Payment

6.1 Subscription Plans

We offer various subscription plans for access to our services. Details of each plan, including pricing and features, are available on our Pricing page.

6.2 Payment Terms

Payment is due in advance on a monthly or annual basis, depending on your chosen subscription plan. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

6.4 Price Changes

We reserve the right to change our subscription fees at any time. We will provide you with at least 30 days' notice of any price changes. Your continued use of the service after the price change becomes effective constitutes your agreement to pay the modified amount.

7. Cancellation

You can cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, you will continue to have access to the service until the end of your current billing period. No refunds will be provided for partial months or years.

8. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime for our services. In the event of service disruptions, we will make reasonable efforts to restore service as quickly as possible. Scheduled maintenance will be announced in advance when possible.

9. Data Ownership and Backup

You retain all rights to the data you input into the application. We claim no intellectual property rights over the material you provide to the application. We perform regular backups of your data, but you are responsible for maintaining your own backup copies of your data.

10. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the application, breach of these Terms of Service, or violation of the rights of a third party.

12. Disclaimer

THE APPLICATION IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE APPLICATION AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APPLICATION AND YOUR USE THEREOF.

13. Governing Law

These Terms shall be governed by and defined following the laws of Iraq. Awrosoft and yourself irrevocably consent that the courts of Iraq shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

14. Modifications to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Service.

It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the application after the date such revised Terms of Service are posted.
